The issuance of new no-par value shares in the name may be made against cash and/or non-cash contributions, whereby capital increases against contributions in kind may only be made by a total of up to Eur 423,397,120.00 (Authorised Capital I). By resolution of the Annual General Meeting of April 30, 2010, the Management Board is authorized to increase the share capital by up to a total of EUR 211,698,560.00 by issuing new registered no-par value shares once or several times against cash deposits by up to a total of EUR 211,698,560.00 (Authorized Capital II). By resolution of the Annual General Meeting of April 30, 2010, the share capital is increased by up to Eur 211,698,560.00 by issuing up to 82,694,750 new registered no-par value shares with a pro rata amount of the share capital of EUR 2.56 per year for the execution of up to April 29, option or conversion rights or convertible bonds, profit-sharing rights or profit bonds (or combinations of these instruments) issued in 2015 (Conditional Capital 2010 I).
