. The Annual General Meeting of April 28, 2017 approved an amendment to the Articles of Association in Section 5 (height and division of the share capital) paragraph 2 and with it the cancellation of the previously authorized capital in 2013 and the creation of a new Authorized Capital (Authorized Capital 2017). The Annual General Meeting of April 28, 2017 approved the cancellation of conditional capital in 2013 and the creation of conditional capital in 2017 and thus the amendment of the Articles of Association in Section 5 (height and division of the share capital) paragraph 4. Paragraph 5 (height and division of the share capital) paragraph 4 will in future be paragraph 5, the previous paragraph 5 will be paragraph 4 in the future. By resolution of the Annual General Meeting of April 28, 2017, the Management Board is authorized to increase the share capital once or several times against cash and/or non-cash contributions by April 27, 2022 with the approval of the Supervisory Board (Authorized Capital 2017). The Annual General Meeting of April 28, 2017 approved the conditional increase in the share capital by up to EUR 75,000,000.00 (Conditional Capital 2017). As not registered, the conditional capital increase is made for the granting of option or conversion rights or the service of conversion obligations as well as the granting of shares instead of cash payments to Inh. of warrants, convertible bonds and/or profit bonds, as well a.s. profit-sharing rights including combinations of these instruments ("debt securities"). The shares are issued at the option or conversion price, which is determined in accordance with the authorisation resolution of the Annual General Meeting of April 28, 2017.
