. A contract for the proposed merger of this company with Merck Insurance Brokergesellschaft mbH has been submitted to the Register Court. Where at least nine tenths of the share capital or share capital of a transferring capital company is in the hands of a AG, a merger decision of the acquiring AG is not required to take up that transferring company. Own shares of the transferring company and shares belonging to another company on account of that company shall be deducted from the share capital or share capital. This shall not apply if shareholders of the acquiring company, whose shares together reach the twentieth part of the share capital of that company, require the convening of a general meeting at which the approval of the merger is decided.
