. On the basis of the merger agreement of 3 May 2021 and the approval resolutions of the shareholders' meeting of the RAG Verkauf GmbH and the annual general meeting of the company on the same day, the RAG Verkauf GmbH, Herne (Amtsgericht Bochum HRB 13500) merged with the company by transferring its assets as a whole to it pursuant to § 2 no. 1 UmwG. The creditors of the companies participating in the merger shall be required to provide security if, within six months of the date on which the entry of the merger in the register of the registered office of the legal entity of which they are creditors is deemed to have been made public pursuant to § 19 paragraph 3 UmwG, they file their claim in writing on grounds and amounts, in so far a.s. they are unable to demand satisfaction. However, creditors only have this right if they make it credible that the merger jeopardises the fulfilment of their claim.
