By way of spin-off in accordance with the draft terms of division of 29 June 2021 as well as resolution of its shareholders' meeting of 29 June 2021 and resolution of the shareholders' meeting of the transferring company of 29 June 2021, the company has taken over parts of the assets (heat at the Stollberg/Erzgebirge, Lichtenstein/Sachsen and Crimmitschau sites) from VWS Verbundwerke Südwestsachsen GmbH with its registered office in Lichtenstein/Sachsen (Amtsgericht Chemnitz HRB 7134). The spin-off shall only take effect upon entry in the register of the registered office of the transferring legal entity. Not registered: The creditors of the legal entities involved in the division must be provided with security within six months of the date on which the registration of the division is deemed to have been published in accordance with §§ 125, 19 para. 3 UmwG, if they register their claim in writing in terms of reason and amount, unless they can demand satisfaction. However, they are only entitled to this right if they credibly demonstrate that the division jeopardises the fulfilment of their demand.
