Announcement regarding the composition and the abolition of the supervisory board of Lumileds Germany GmbH |
Dem Aufsichtsrat der Lumileds Germany GmbH gehörten bisher gemäß § 1 Abs. 1 Nr. 3 DrittelbG in Verbindung mit § 101 Abs. 1 AktG in Verbindung mit § 6.1 (b) der Satzung der Lumileds Germany GmbH drei Mitgliedern an, von denen ein Mitglied ein Arbeitnehmer war, da die Gesellschaft mehr als 500 Arbeitnehmer beschäftigte.

The supervisory board of Lumileds Germany GmbH consisted pursuant to Sec. 1 para. 1 no. 3 One-Third Participation Act in conjunction with Sec. 101 para. 1 German Stock Corporation Act and Sec. 6.1 (b) of the articles of association of Lumileds Germany GmbH of three members, of which one was an employee due to the fact that the company employed more than 500 employees.

Die Anzahl der Lumileds Germany GmbH zuzurechnenden Arbeitnehmer beträgt mittlerweile weniger als 501. Der gesetzliche Schwellenwert für die Mitbestimmung von Arbeitnehmern im Aufsichtsrat der Lumileds Germany GmbH gemäß dem Drittelbeteiligungsgesetz wird daher unterschritten. Eine Erhöhung der Arbeitnehmerzahl auf mehr als 500 ist nicht mehr zu erwarten.

The number of employees attributable to Lumileds Germany GmbH is now less than 501. The statutory threshold for employee co-determination in the supervisory board of Lumileds Germany GmbH in accordance with the German One-Third Participation Act is therefore not reached. An increase in the number of employees of more than 500 employees is not expected anymore.

Die Geschäftsführung der Lumileds Germany GmbH stellt daher fest, dass den für die Zusammensetzung des Aufsichtsrats anwendbaren Vorschriften gegenwärtig nicht entsprochen wird. Nach Ansicht der Geschäftsführung ist der Aufsichtsrat nicht mehr nach den Bestimmungen des Drittelbeteiligungsgesetzes zusammenzusetzen und soll deshalb abgeschafft werden.

The management of Lumileds Germany GmbH therefore states that the regulations governing the composition of the Supervisory Board are not currently complied with. In the opinion of the management, the supervisory board is no longer to be composed according to the provisions of the German One-Third Participation Act and shall therefore cease to exist. |
Wenn keiner der in § 98 Abs. 2 AktG genannten Antragsberechtigten innerhalb einer Frist von einem Monat nach der Veröffentlichung dieser Bekanntmachung im Bundesanzeiger das zuständige Landgericht anruft, wird der Aufsichtsrat der Lumileds Germany GmbH aufgelöst.

If none of the persons entitled to file an application as specified in Sec. 98 para. 2 German Stock Corporation Act brings the case before the competent Regional Court within a period of one month after the publication of this announcement in the Federal Gazette, the Supervisory Board of Lumileds Germany GmbH will be dissolved. |
