The creditors of the Association must be declared in writing if they declare their claim in writing within six months of the date on which the entry of the spin-off in the register of associations is deemed to have been made public in accordance with the § 19 Abs. 3 UmwG, provided that they cannot obtain satisfaction. The legal entity against whom the claim is directed is obliged to provide security. However, creditors are entitled to this right only if they demonstrate that the spin-off jeopardises the fulfilment of their claim § 22 Abs. 1 UmwG.
