By way of spin-off pursuant to the spin-off agreement of July 15, 2019 and resolution of its shareholders' meeting of July 15, 2019 and resolution of the general meeting of the transferring entity of July 15, 2019 the company has parts of the assets (sub-enterprises "Klinik Josefinum including the branch offices in Nördlingen and Kempten, of the outdoor beds in Hochried, Murnau and the Alpine Clinic Santa Maria for children and adolescents, Oberjoch, as well as the private state-recognized vocational school for paediatric nursing at Josefinum, Augsburg, the Catholic Youth Welfare of the Diocese of Augsburg e. V., excluding land and buildings and inheritance rights as well as the related assets and liabilities,") taken over by the Catholic Youth Welfare of the Diocese of Augsburg District Court of Augsburg VR 699 e. V. The spin-off shall only become effective when it is entered in the register of the registered office of the transferring entity. Unregistered: If, within six months of the date on which the registration of the spin-off in the register of the registered entity of which they are creditors has been made known in accordance with Paragraph125, 19 (3) of the UmwG, creditors must be notified in writing of their claim in writing, unless they can claim satisfaction, in accordance with paragraphs 125, 19 (3) of the UmwG. However, they are entitled to that right only if they demonstrate that the spin-off jeopardises the fulfilment of their claim. The spin-off was entered in the register of the registered office of the transferring entity on August 30 and 2019 (see District Court of Augsburg VR 699).
