Corporate purpose
The company is a real estate company within the meaning of § 234 of the German Investment Code ("KAGB"). The purpose of the company is exclusively the participation as a personally liable partner in ABG Projekt-Beteiligungs-Gesellschaft mbH & Co. KG Objekt Ericus-Contor (in the future: "Ericus GmbH & Co KG") based in Pullach (in the future: Frankfurt am Main), another real estate company within the meaning of § 234 of the Capital Investment Code, in which TRIUVA Kapitalverwaltungsgesellschaft mbH is involved as a limited partner for the account of the AIF Special Fund. The Company may only acquire the participation in the aforementioned limited partnership if (I) the requirements of the German Investment Code in conjunction with the investment conditions/investor agreements of the AIF Special Fund for the acquisition of a participation in a real estate company are met, (II) the value of the participation in the other real estate company corresponding to the respective extent of the participation of TRIUVA Kapitalverwaltungsgesellschaft mbH 15% of the value of the AIF Special Fund, unless the Federal Financial Supervisory Authority has granted an exemption for the AIF Special Fund pursuant to Section 244 KAGB or the provision of Section 235 (2) No. 3 KAGB has been waived pursuant to Section 284 KAGB and (III) the participation in the aforementioned limited partnership has been valued prior to acquisition in accordance with Section 235 KAGB in conjunction with the investment conditions/investor agreements of the AIF Special Fund is. The direct holding of real estate, the participation in other real estate companies or the assumption of the participation as a personally liable partner in other than the aforementioned limited partnership is not permitted. Other activities, with the exception of the management of one's own assets, are also excluded. In particular, the Company is not permitted to raise debt capital, grant loans, grant guarantees and other collateral and assume guarantees for third parties. To the extent and as long as TRIUVA Kapitalverwaltungsgesellschaft mbH directly or indirectly holds the majority of the share capital in the Company via one or more other real estate companies, any disposal of the Company's participation in the aforementioned limited partnership requires the prior consent of the respective depositary of the AIF Special Fund.
