Corporate purpose
1. The company is a real estate company within the meaning of § 234 KAGB. The purpose of the Company is exclusively the acquisition, holding and, as far as permissible under investment law, the management of shares or investments in real estate companies within the meaning of § 234 KAGB as well as other assets that may be acquired by TRIUVA Kapitalverwaltungsgesellschaft mbH in its function as a capital management company directly for the AIF special fund according to its investment conditions, in particular, but not exclusively, in With regard to the participation as personally liable partner and the holding of the shares of Eurotower Frankfurt GmbH & Co. KG, based in Frankfurt am Main, registered in the commercial register of the local court of Frankfurt under HRA 45904. 2. The company may only acquire the participation in the aforementioned limited partnership if a. the requirements of the KAGB in conjunction with the investment conditions/investor agreements of the AIF Special Fund for the acquisition of a participation in a real estate company are met, b. the value of the participation in the other real estate company corresponding to the respective extent of the participation of TRIUVA Kapitalverwaltungsgesellschaft mbH 15% of the value of the AIF Special Fund, unless the Federal Financial Supervisory Authority has granted an exemption for the AIF Special Fund pursuant to Section 244 KAGB or the provision of Section 235 (2) No. 3 KAGB has been waived pursuant to Section 284 KAGB and c. the participation in the aforementioned limited partnership has been valued prior to acquisition in accordance with Section 235 KAGB in conjunction with the investment conditions/investment agreements of the AIF Special Fund. 3. To the extent and as long as TRIUVA Kapitalverwaltungsgesellschaft mbH holds the majority of the share capital in the Company directly or indirectly via one or more other real estate companies, any disposal of the Company's participation in the aforementioned limited partnership requires the prior consent of the respective depositary of the AIF Special Fund.
