Corporate purpose
The adjustment, management and support of the German coal industry of RAG Aktiengesellschaft depending on the legal and other framework conditions for the end of subsidised coal production in Germany. This also includes support for the elimination and avoidance of consequential burdens of RAG Aktiengesellschaft für Umwelt und Natur in the context of legal obligations and the promotion of education, science and culture in the mining regions of the Ruhr and Saar, insofar as this is related to the German coal industry; the acquisition of direct and indirect shareholdings in companies of RAG Aktiengesellschaft in accordance with the Foundation's Articles of Association as well as the holding and management of these shareholdings. In the case of companies from the RAG Group's investment and assets division, which are not related to the coal mining of RAG Aktiengesellschaft, which are bundled in RAG Beteiligungs-AG (now trading as Evonik Industries AG), the management also includes the realisation within the scope of the permissible use of assets in accordance with the foundation's statutes. The Foundation is only permitted to exploit this investment and asset area, including the sale of the shares in Evonik Industries AG by RAG Aktiengesellschaft to the Foundation, if sufficient financial security for the Foundation and its holdings belonging to the mining sector is ensured with the dissolution of the joint liability system between the Mining Division and the investment and assets division bundled in Evonik Industries AG. Preparatory measures, including the conclusion of agreements with the public authorities and the conclusion of inter-company agreements, may be taken by the Foundation from the time of its establishment; the use, administration and increase of the Foundation's assets for the pursuit of the above purposes.
